Your private data is stored on secure, Canadian-based servers, and will always remain to be private.

> Terms Of Service

These Terms and Conditions of Service (hereinafter “Terms and Conditions“) are applicable to your access to the Centrus’ services, and your use of the services offered.

By using any of the services or products provided; or serviced by Centrius, you acknowledge that you have read, understood, and agree to be bound by our Terms and Conditions.

The present Terms and Conditions have last been modified on January 1, 2025 and apply to all users.

> Terms And Conditions

You must read and accept the present policies before you can use the Centrius services.

By accessing and continuing to use any Centrius services, you confirm your agreement, and are subject to the Terms and Conditions.

If you do not agree to these Terms and Conditions, then do not access or use any Centrius services.

Centrius may need to modify these Terms and Conditions from time to time to adapt to changing technologies, laws and/or regulations.

Centrius may choose to provide the Client with a prior written notice if the changes significantly impact the Client’s services, and Centrius will do this solely at it’s own discretion.

Centrius is not obligated to provide notice.

Any changes will enter into force within thirty (30) days for any changes.

> Eligibility Criteria of Centrius Services

The services offered through Centrius are available only to persons who have the legal capacity to contract, and our services are available only to persons aged 18 and over.

Centrius also reserves the right to restrict the use for those whom have been temporarily or permanently suspended.

If your registration is made on behalf of a corporation, you certify that you are a duly authorized representative of that corporation.

> Account Creation, Maintenance, Modification and Cancellation

You can create an account by emailing:   administrator_cg@centrius.org.

Fees associated with our services can also be provided on request.

You agree to maintain accurate information with Centrius while you are using it’s services, and include your full name, current billing address, and phone number.

You agree to update your information within ten days of any change.

You agree that Centrius may use and rely on any such information provided by you for all purposes in connection with your services, and subject to Centrius’ Privacy Policy. Should you provide any information that is inaccurate, misleading or incomplete; or if Centrius has reasonable grounds to suspect that your information is inaccurate, then Centrius has the right to suspend or terminate your services and/or close your account.

> Account Maintenance and Security

You agree to use your account solely for lawful purposes and agree that you are fully responsible for all content and data on your account.

You agree that you are fully responsible for maintaining the confidentiality of your customer and login information, password, or credit card numbers.

You agree that you are entirely responsible for any and all activities that occur under your account.

You agree to notify Centrius immediately of any unauthorized use of your account or of any other breach of security.

You agree Centrius will not be liable for any loss that you may incur as a result of someone else using your Account Access Information, either with or without your knowledge.

You also agree that you could be held liable for losses incurred by Centrius or another party due to someone else using your Account Access Information.

Centrius advises you keep your Account Access information in a secure location, and take precautions to prevent others from gaining access and/or using your Account Access Information.

You may not, under any circumstance, compromise the security of your account, or of the Centrius infrastructure in any way.

While Centrius has several measures in place to increase the availability and reliability of the data stored on its servers, you agree to maintain your own backup copies of all data stored on our servers, and not to hold Centrius liable for any errors or interruption of services

> Responsibility for Content

You agree that you are solely responsible for the content stored on and served on your account(s).

You further agree that you are responsible for all activity in your account, whether initiated by you, by others on your behalf, or by any other means.

Centrius disclaims liability for any activity in your account, whether authorized by you or not.

> Account Suspension and Cancellation

Centrius can suspend or terminate service; without prior notice, with any accounts that do not comply with these Terms and Services in order to maintain a safe and secure environment for our clients.

Centrius will attempt to notify you in case of account suspensions or cancellations.

In some circumstances, Centrius may suspend an account without prior warning to avoid serious harm or service degradation.

You may cancel your account; or prevent an automatic renewal, by emailing your request at least 10 days prior to your service’s expiry date. The cancellation request must include all the necessary details to allow proper identification of the account in question, and your full name and contact infomration. All requests for modifications must be acknowledged from the service via email to be valid.

> Backups

For certain services, courtesy backups to help protect your data.  Since backups can occasionally fail, under no circumstance will Centrius be held responsible for any loss; regardless of the circumstances. 

By using Centrius’ services, you agree to maintain a personal, verified, up-to-date, complete, and offsite backup of your email data.

You also agree to actively validate the integrity of your backups after completion to safeguard any data loss.

> Privacy Policy

Centrius is committed to your privacy, and does not sell, trade or give out your personal information unless required as part of your service contract or by law.

> Acceptable Use Policy

You may not use any of Centrius’ services for illegal purposes.

You agree to comply with any applicable local, provincial, federal and international laws, government rules or requirements.

You agree you will not be entitled to a refund of any fees paid to Centrius if; for any reason, Centrius takes corrective action with respect to your improper or illegal use of its services.

Centrius reserves the right at all times to disclose any information as deemed necessary, as to satisfy any applicable law, regulation, legal process or governmental request.

Our servers are not to be used for mass emails of any kind, and all email accounts are limited to sending 300 emails per day. 

This guards the reputation and security of our services, and protects the deliverability service for all our clients.

> Domain Names

Domain name registrations, renewals, and transfers must respect applicable laws, regulations, and may not pertain to anything which violates Canadian Law.

> Site Transfers

Clients are responsible for legally securing the right to any domain for their possession.

> Money-back guarantee

Centrius is fully committed to your satisfaction, and offers the following money-back guarantee if you are not 100% satisfied for the service.

Refunds for the monthly services can be acquired within 30 days of your purchase only.

Any services provided (apart from the basic email monthly service) during this time period are not eligible to be refundable.

Credits will be applied to the next billing cycle when a client’s fees are payable.

> Guaranteed technical support in 24 hours or less

Centrius guarantees an initial response for any emailed technical support questions within a maximum of 24 hours.

> 99.9% Guaranteed Server Availability

Centrius understands the importance of having a continuously available email access, and guarantees a server availability (or “uptime”) of 99%, calculated monthly.

Our services are considered available if they accessable from at least two different independent internet feed backbones.

Any scheduled maintenance outage will not be considered when computing monthly uptime.

Sporadic or localized outages due to Internet network conditions outside of our control will also not be considered when computing monthly uptime, nor will incorrect DNS or account manipulations by the Client, including programming errors or script errors.

Centrius will generate renewal invoices automatically for all your active services at least 15 days prior to their expiration date.

When we generate a new invoice, we’ll send you an email with a copy of the invoice.

If you do not receive an emailed invoice by 15 days before payments are normally due for your company, it is your responsiblity to contact Centrius immediately to notify us, and to receive your infomation for any any amounts due.

Expired services will be suspended if left unpaid on their due date, and data will permanently deleted at Centrius’ sole discretion without notice, nor compensation.

You must maintain an active contact name, address, and phone number on file with us at all times, as to receive important account information, invoices and expiry notices. Services not paid on their due date risk being immediately permanently terminated. Should you wish to reactivate your services after they have been suspended or terminated, your prior data may not be recoverable from our servers.

> Payments

Centrius accepts payments by Visa, and Mastercard.

For amount exceeding C$1000.00, Centrius also accepts non-automated payments by check, email Interac transfer.

For Interact transfers, clients must call at the time the transfer is made, and verbally commuincate any passwords to complete the transfer directly with the physical person processing the transfer.

All payments must be made in Canadian dollars, unless stated otherwise.

Administration fees may apply for payments which were not honoured by the financial institution.

> Refund Policy

You can request a refund within the context of Centrius’ money-back guarantee by sending a written request through email.

Refunds are only available during your service’s eligible refund period, and will be only be issued using the same payment method for payments made by credit card.

All credits will be applied to future invoices, and not refundable.

Refunds will be issued by Centrius within 10 business days following the reception of your refund request; and after being acknowleged by Centrius for processing

Some banks or credit card providers may incur additional delays before making those funds available to you again.

Goods and services not specifically provided by Centrius (ie. domain names, etc) will not be elegible for refunds.

Centrius will not issue refunds for the same type of product more than once per account.

Billing errors can be refunded for a maximum retroactive period of 3 months.

In the unlikely event that a billing error comes to your attention, you are encouraged to contact Centrius as quickly as possible to correct the error.

> Chargebacks and Reversals

In the event you issue any chargeback, reversal of charges, or NSF items with your banking institution you will be responsible for an additional CDN$50.00 fee, plus the full amount of your original transaction, plus applicable taxes, with your invoiced amount.

> Disclaimer and Limitation of Liability

SUBJECT TO THE WARRANTIES SPECIFICALLY PROVIDED IN THIS AGREEMENT, CENTRIUS DOESN’T MAKE ANY REPRESENTATION OR WARRANTIES (EITHER EXPRESSLY OR IMPLIED, OF ANY KIND) REGARDING THE SERVICES OR PRODUCTS PROVIDED OR SERVICED BY CENTRIUS. ANY WARRANTY; EXPRESS OR IMPLIED (INCLUDING, WITHOUT LIMITATION) THE IMPLIED WARRANTIES OF MERCHANTABILITY, OF COMPLIANCE OR NON-INFRINGEMENT.

FURTHERMORE, SUBJECT TO THE WARRANTIES SPECIFICALLY PROVIDED IN THIS AGREEMENT.

WHEN USING OR WHEN SEEKING TO USE CENTRIUS’ SERVICES, THE USER EXPRESSLY AGREES THAT CENTRIUS MAKES NO WARRANTY OR REPRESENTATIONS REGARDING THE SERVICES OR PRODUCTS PROVIDED OR SERVICED BY CENTRIUS.

ALTHOUGH CENTRIUS ENDEAVOURS TO MAINTAIN THE ACCURACY OF THE INFORMATION, ERRORS CAN BE PRESENT.

IN THE EVENT CENTRIUS NOTICES AN ERROR, IT WILL BE CORRECTED AS SOON AS POSSIBLE, AND THE CUSTOMERS CONCERNED WILL BE ADVISED ACCORDINGLY.

CENTRIUS MAKES NO REPRESENTATION, WARRANTY OR CONDITION (EITHER EXPRESS OR IMPLIED).

> Force Majeure

CENTRIUS will make every effort to keep it’s services operational; however, certain technical difficulties and other factors outside of its control may (from time to time) result in temporary service interruptions.

You agree not to hold CENTRIUS liable for any of the consequences of such interruptions.

> Applicable Law and Jurisdiction

This Agreement and its interpretation are subject to the laws of the province of Ontario and the laws of Canada applicable therein, without giving effect to any principles of conflicts of laws.

> Non-Solicitation of Employees

During the time you are a client with us and for 12 months following you are not permitted to:

a. Encourage or solicit an Employee to complete work for you outside of the Company;

b. Recruit or attempt to recruit an Employee of the Company;

c. Hire or engage an Employee or former Employee whose employment agreement will have ended less than one year prior to the date of recruitment.

> Respectful Communications

We strictly prohibit any form of verbal abuse either from, or toward our team members and clients.

This includes; but is not limited to offensive, threatening, or discriminatory language, profanity, personal attacks, intimidation, or any form of harassment.
